
Limited Scope Engagement Agreement – DIY IRS Debt Assist™
This Limited Scope Engagement Agreement (“Agreement”) is entered into between Paladini Law, LLC (“We” or “Us”) and You identified below for participation in the DIY IRS Debt Assist™ Program (“Program”). This Agreement sets forth the scope of services, fees, and responsibilities of both parties.
1. Purpose and Nature of the Program
The DIY IRS Debt Assist™ Program is designed for individuals seeking to resolve their own IRS back tax debt, typically handled through the IRS Automated Collection System (ACS), with professional education and limited guidance from a licensed tax attorney.
The Program provides general legal education and strategy guidance to assist you in handling your own tax matter. It does not include direct representation before the IRS, state tax authorities, or any court.
2. Scope of Services
Participation in the Program includes the following:
Access to monthly live group sessions led by a licensed tax attorney.
Educational materials and guidance on resolving IRS back tax debt.
One (1) 30-minute private consultation with an attorney during the initial three-month term.
The Program does not include:
Direct communication with the IRS or any tax agency by the Firm.
Preparation or submission of tax returns, financial statements, or IRS forms on behalf of the Client.
Legal representation, power of attorney filings (Form 2848), or negotiations with the IRS.
If you desire representation or services outside the limited scope defined above, a separate engagement agreement must be executed.
3. Fees and Payment Terms
The fee for participation in the Program is $166 per month, with a minimum commitment of three months. Participation includes one individual consultation with an attorney per quarter and monthly group calls. After the initial three-month term, the Program will continue on a month-to-month basis at the same rate unless the Client cancels in writing before the next billing cycle.
If you upgrade to full-service service representation offered by us within the initial three-month initial commitment period, you will receive a credit equal to the monthly payment(s) of $166 applied toward the upgraded service. Credits are not available for upgrades made after the initial three-month period, nor are they available for any optional add-ons.
All payments are non-refundable once charged.
4. Additional Services (Optional Add-Ons)
You may purchase optional services for additional support:
Attorney Consultation: Additional 30-minute private consultations may be scheduled for a flat fee of $500 per session.
IRS Call Assistance: The Client may request that an Enrolled Agent contact the IRS jointly with the Client for a flat fee of $500 per call, regardless of call duration. Calls generally last between 30 minutes and 3 hours, so please ensure you allow sufficient time for the call.
All additional services must be paid in full before scheduling.
5. Your Responsibilities
You acknowledge and agree that you are responsible for:
Taking all necessary actions with the IRS directly.
Completing and submitting any forms or documentation on their own.
Following through on recommendations or guidance received through the Program.
You understand that the Program is educational in nature and does not establish full attorney-client representation for any IRS matter.
6. No Guarantee of Outcome
We cannot and do not guarantee any specific results or outcomes from participation in the Program. Your success depends on your own actions, compliance, and communication with the IRS.
7. Confidentiality
We will maintain the confidentiality of all information shared by you consistent with applicable professional obligations. However, group sessions are educational in nature and should not be used to disclose private or case-specific facts. There’s no confidentiality or attorney-client privilege during group calls. It’s intended for general questions only.
8. Termination
You may cancel their participation after the initial three-month period by providing written notice to the Firm before the next billing date. Please email [email protected] to cancel.
We reserve the right to terminate participation at any time for non-payment, misuse of the Program, or conduct inconsistent with the terms of this Agreement.
9. Entire Agreement
This Agreement represents the entire understanding between us and you regarding the limited scope of services described herein. Any modifications must be made in writing and signed by both parties.
10. Liquidated Damages
You acknowledge that all materials, videos, documents, and other content provided as part of the Program (“Program Materials”) are the exclusive property of Paladini Law, LLC and are protected by intellectual property laws. You agree not to reproduce, distribute, share, sell, or make the Program Materials available to any third party, whether privately or publicly, including posting any portion online or through social media.
Any unauthorized sharing, distribution, or disclosure of the Program Materials shall constitute a material breach of this Agreement. Because actual damages would be difficult to quantify, you agree to pay us liquidated damages of $25,000 per occurrence, representing a reasonable estimate of the harm caused by such breach, in addition to any other remedies available at law or in equity.
Agreement Subject to Conflict Check
Participation in the Program is subject to a conflict of interest check conducted by us. If, after review, a conflict of interest is identified that prevents us from providing services to you, you will be promptly notified, and any fees paid will be fully refunded.
Arbitration
If there's a dispute between you and us, we should communicate and try to negotiate a resolution. If it cannot be resolved among us, you and we agree to bring the dispute to mandatory binding arbitration in New Jersey. Judgment on binding arbitration awards may be entered only in the Superior Court of the County of Bergen, State of New Jersey, or in the Superior Court of the County of Morris, State of New Jersey. You and we both agree to waive our rights to a court or jury trial.
Your Acknowledgment
By signing below, you acknowledge that you have read and understood this Limited Scope Engagement Agreement, consent to the limited scope of representation, and agree to the terms outlined above.
